Stock surges on news that Khazanah stake sale will be subject to GO
PETALING JAYA: Proton Holdings Bhd's shares hit an 11-month high as the counter was fuelled by news that the sale of Khazanah Nasional Bhd's 42.7% stake in the national carmaker would be subject to a general offer (GO).
At 5pm yesterday, Proton shares surged 41 sen, or 9%, to close at RM4.79 with 58.5 million shares traded.
In an interview with a local business daily last week, Khazanah managing director Tan Sri Azman Mokhtar said that any sale involving the disposal of its stake in the national carmaker would involve a GO to protect minority shareholder interest.
In the report, Azman said Khazanah, Proton's major shareholder, had received offers for various forms of collaboration, including acquiring its controlling stake, but had not arrived at a decision to sell to any interested party.
Persistent rumours about a possible takeover had resulted in spikes in Proton's share price in recent weeks.
Among the names linked to the takeover included local automotive assembler DRB-HICOM Bhd, the Naza group (the country's largest privately held automotive group), Sime Darby Bhd and UMW Holdings Bhd.
Interestingly, UMW was the second-highest gainer yesterday, closing up 38 sen to RM6.98 with 245,800 shares traded. Earlier reports claimed that UMW had made a presentation to Khazanah for a bid on Proton, although UMW had denied this.
UMW, which is majority-controlled by Permodalan Nasional Bhd (PNB) and the Employees Provident Fund, is also the single-largest shareholder of Perusahaan Otomobil Kedua Sdn Bhd, the manufacturer of Malaysia's second national car.
Earlier this month, two local business dailies quoted Proton adviser and former Prime Minister Tun Dr Mahathir Mohamad as saying that Khazanah was selling its stake in Proton to DRB-HICOM.
Shares of DRB-HICOM closed up 4 sen to RM2.07.
Analysts and industry observers are generally in favour of a takeover by DRB-HICOM, given the company's strong cashflow, its know-how of the automotive industry and ongoing partnership with German automotive company Volkswagen.
"Proton needs a good strategic partner and DRB-HICOM can offer that," said an analyst with a local bank-backed brokerage.
Reports have claimed that DRB-HICOM may end up paying about RM1.38bil, or RM5.90 per share, for the stake held by Khazanah.
At RM5.90, the offer price would amount to about 23% premium to yesterday's closing price.
